Wood Smith Henning & Berman led by Partner Luana DiSarra Scavone and assisted by Senior Associate Brandon Ruggieri, secured summary judgment for a national client in a Massachusetts lawsuit arising from the purchase and delivery of a vehicle through an online auto auction.
The plaintiff asserted claims for negligence and breach of contract, including allegations of misrepresentation and breach of warranty. The negligence claims arose from personal injuries the plaintiff allegedly sustained while the auction was being unloaded at the time of the delivery.
The presiding justice of the Worcester Superior Court granted summary judgment in favor of the defendants and dismissed the lawsuit in its entirety. The court concluded the plaintiff was bound by the online contract's one-year limitations period and mandatory arbitration provision.
"This decision affirms that clearly presented online agreements carry the same legal force as traditional contracts," said Luana. "The court closely examined the contracting process and recognized that a consumer who affirmatively accepts unambiguous terms cannot later avoid those obligations by claiming not to have read or understood them."
In analyzing contract formation, the court emphasized that the agreement clearly and repeatedly stated its terms, advised customers that those terms were nonnegotiable, and instructed users not to proceed unless they were willing to be bound. The evidence established that the plaintiff moved through the online prompts and took affirmative action to accept the agreement.
The court rejected the plaintiff's contention that he should not be bound because he did not thoroughly read or understand the contract. It found no evidence of coercion or a coercive environment. The plaintiff had the opportunity to review the agreement on his own timetable and could freely choose either to accept its terms or decline to proceed with the transaction, As the court explained, requiring a party to accept contractual terms to obtain the benefit of an agreement reflects the ordinary nature of a contractual relationship, not coercion.
The decision applies traditional principles of contract formation to an online transaction, recognizing that the "touchstones of internet contract law must reflect the touchstones of regular contract law." By clicking to expressly accept the agreement, the plaintiff entered into a legally valid contract and became bound by its terms. Because those terms included both a binding arbitration requirement and a one-year contractual limitations period, the court held the lawsuit could not proceed.
The court declined, however, to grant summary judgment on personal jurisdiction grounds. Although the defendants had no employees or physical locations in Massachusetts and did not advertise there, the court found sufficient connections to the Commonwealth because their nationwide auction services involved vehicles transported on Massachusetts roads and delivered to Massachusetts customers. The ruling therefore offers an important reminder that businesses conducting online transactions may face litigation in states where their services and products reach consumers, even without a traditional physical presence.
"This result reflects the importance of developing a detailed factual record showing exactly how an online agreement is presented and accepted," said Luana. "Clear contract language, repeated notice of key provisions, and evidence of customer's affirmative assent allowed us to demonstrate that the agreement, including its arbitration and limitations provisions, was enforceable."
